These Terms & Conditions ("Terms") govern access to and use of the Verendix platform (the "Platform"), operated by [Company Legal Name], registration no. [IČO], with its registered seat at [Registered Address] ("we", "us", "the Company"). By creating an account or using the Platform, you agree to these Terms.
1. Definitions
"Poster" means a company or individual who submits AI-generated output for human review. "Reviewer" means a vetted individual who reviews, corrects, or signs off on that output. "Task" means a unit of review work posted on the Platform, consisting of one or more "Items". "Content" means any text, data, or files submitted by a Poster or produced by a Reviewer through the Platform.
2. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials. We may suspend or terminate accounts that provide false identity, credential, or licensing information.
3. What the Platform Is — and Is Not
The Platform is a marketplace that connects Posters with independent, third-party Reviewers for the review and correction of AI-generated output. We do not employ Reviewers, and we do not ourselves review, correct, or guarantee the accuracy of any Content. Reviewer output reflects the professional judgment of that individual Reviewer, not the Company.
4. Reviewer Vetting & Credentials
Reviewers self-report domain expertise, professional experience, and licensing/credential information, which we verify on a best-efforts basis before granting verified status. Credential verification reduces but does not eliminate the risk of error, and is not a guarantee of professional competence, licensure status at all times, or fitness for any particular task. Posters remain responsible for independently confirming a Reviewer's qualifications where the stakes of a decision warrant it.
5. Posting Tasks, Pricing & Payment
Posters set out the scope of a Task and pay the displayed price via our payment processor, Stripe, before a Task is published to Reviewers. Pricing reflects domain, batch size, and disagreement-risk weighting as displayed at checkout. Payment is processed at the time of posting; a Task will not go live until payment is confirmed.
6. Reviewer Payouts
Reviewers receive payouts via Stripe Connect for completed, approved Items. Payout amounts, timing, and any platform fee are as displayed in the Reviewer's dashboard at the time an Item is claimed. Reviewers are independent contractors, not employees of the Company, and are solely responsible for their own tax obligations arising from payouts.
7. Cancellations & Refunds
A Task may be cancelled before any Item on it has been claimed by a Reviewer, subject to a refund of the unclaimed portion less any payment-processing fees already incurred. Once an Item has been claimed and reviewed, payment for that Item is final. Disputes about review quality should be raised through the Platform's support channel within 14 days of completion.
8. Content Ownership & License
Posters retain ownership of Content they submit. By submitting Content, a Poster grants the Company and the assigned Reviewer a limited license to access, display, and process that Content solely to perform the Task. Reviewers retain no ownership claim over Poster Content and may not use it for any purpose outside the assigned Task.
9. Prohibited Conduct
You may not: submit Content you do not have the right to share; attempt to contract with a Poster or Reviewer outside the Platform to avoid fees; misrepresent your identity, credentials, or licensing status; upload unlawful, infringing, or harmful material; or interfere with the Platform's security or normal operation.
10. No Professional Advice; Disclaimer
Reviewer sign-off is not, and must not be relied upon as, a substitute for independent legal, medical, financial, or other licensed professional advice specific to your situation. THE PLATFORM AND ALL REVIEWER OUTPUT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. For high-stakes decisions (clinical, legal, financial, or safety-critical), independent licensed professional review remains the Poster's responsibility.
11. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability arising out of or relating to the Platform shall not exceed the fees paid by the affected Poster for the Task giving rise to the claim in the preceding 12 months. The Company is not liable for indirect, incidental, consequential, or punitive damages, or for the acts or omissions of any Reviewer.
12. Indemnification
You agree to indemnify and hold the Company harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or the Content you submit.
13. Suspension & Termination
We may suspend or terminate access to the Platform, with or without notice, for breach of these Terms, suspected fraud, or misuse. You may close your account at any time; open Tasks and unresolved payouts will be settled before closure.
14. Governing Law & Disputes
These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-laws principles. Any dispute not resolved informally shall be submitted to the courts of the Czech Republic having jurisdiction over the Company's registered seat.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Platform or by email at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance.
